Website & Waitlist Terms of Use

1. Acceptance

By selecting the agreement checkbox and submitting the waitlist form, you agree to these Terms. They also apply to website features expressly offered subject to these Terms. If you do not agree, do not submit the form or use those features.

2. Eligibility and registration

Participation is limited to individuals aged 19 or older who reside in Canada outside Quebec. You represent that you satisfy these requirements and that the information you provide is accurate. You must keep your contact information current and notify us if you cease to be eligible.

You may maintain only one waitlist entry. You must register for yourself unless we authorise otherwise in writing. You must not use another identity or registration to circumvent a restriction, suspension or removal.

You are responsible for securing your email account and private access links. Do not share private access links; public referral links may be shared under Section 6. Notify us promptly of suspected unauthorised access.

You may request removal from the waitlist using the contact details in Section 18.

3. Free waitlist and future services

The website is informational and promotional. Joining the waitlist is free, and no payment is accepted through it. Registration does not create a customer account, purchase, option to purchase, bullion ownership, allocation, custody, storage, bailment, insurance, delivery or sell-back arrangement.

Waitlist participation does not guarantee launch, a launch date, acceptance as a customer, product availability or future pricing. Future paid services require eligibility verification, acceptance of separate agreements and the applicable pricing disclosures.

Participation is voluntary and at your own expense. Unless we separately agree in writing, we do not authorise or agree to reimburse expenses incurred in promoting referrals, participating in the waitlist or preparing to use a future service.

4. Waitlist rank and early access

If the service launches, early-access invitations will be offered to up to 500 eligible participants selected by validated waitlist rank, subject to verification, onboarding requirements and the deadline stated in the invitation. Displayed ranks are provisional and do not themselves confirm admission.

We may correct rankings, referral counts and status information affected by duplicate or invalid entries, abuse or technical error. A waitlist position is not property and may not be sold, assigned, transferred, traded or pledged.

Ties in validated rank are resolved by the earlier valid registration. An invitation permits you to apply for the future service. You must complete the stated onboarding requirements and accept the applicable customer agreement before its deadline. An unused or expired invitation may be offered to the next eligible participant by validated rank.

5. Referral credits

Each Successful Referral earns one C$10 promotional purchase credit, subject to the conditions below. Registration alone does not earn a credit.

Qualification and attribution

A “Successful Referral” is a genuine, separate, eligible new customer referred through your authorised referral link who completes their first qualifying TipGoldVault bullion purchase. The purchase must be paid and completed and must not be cancelled, refunded, reversed, charged back, fraudulent or otherwise invalid.

Each referred individual may be attributed to only one referrer and generate only one credit. Attribution is based on the referral recorded with that person's first valid registration, subject to correction of errors or manipulation. Duplicate registrations do not create additional referrals.

Self-referrals, controlled or fictitious accounts, referral rings, purchased referrals, automated registrations and arrangements designed to manipulate attribution or qualification are prohibited. Displayed counts and estimated credits remain provisional until eligibility, attribution and the purchase have been validated.

Application and reversal

Validated credits apply toward your next eligible buying cycle, meaning your next purchase of physical bullion from TipGoldVault after validation. Credits may be combined with other validated referral credits, up to the bullion purchase amount; any unused balance remains available for a later eligible purchase. Credits do not pay shipping, storage, taxes or other separate charges and may not be combined with another promotion unless we expressly permit it.

Credits are not redeemable for cash, withdrawable, transferable or exchangeable for bullion except through their permitted application to an eligible purchase. They may not be sold or used to purchase gift cards or cash equivalents.

We may hold validation while investigating suspected abuse and reject, correct or reverse credits attributable to ineligible participation, prohibited conduct, attribution error or a cancelled, refunded, reversed or charged-back purchase. Reversed credits may be deducted from your unused referral-credit balance.

6. Referral promotion and authority

You may share your authorised referral link with genuine prospective participants. Promotional communications must clearly disclose your potential referral benefit, comply with applicable law and contain no false or misleading claims, unlawful spam, manipulated endorsements or unauthorised promises.

Without our prior written authorisation, you must not promote referral links through paid advertising, bid on TipGoldVault brand terms, register domains or accounts implying an official affiliation, or offer additional incentives for registrations or purchases.

Participation creates no agency, employment, partnership, joint venture, franchise or representative relationship. You have no authority to bind TipGoldVault, quote binding prices, incur obligations in our name or make warranties, guarantees or commitments on our behalf.

7. Website licence and prohibited conduct

The website and its content are owned by or licensed to TipGoldVault. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the website for lawful personal informational purposes. No ownership rights are transferred.

Except as permitted by law or authorised by us in writing, you must not:

• copy substantial portions of, republish, commercially exploit, scrape or systematically extract website content or personal information;
• impersonate anyone, create false identities, phish, harvest credentials or use our trademarks deceptively;
• use bots or scripts to register, manipulate referrals or queue positions, or bypass access restrictions;
• probe or test systems without authorisation, introduce malicious code, disrupt services or interfere with security controls;
• reverse engineer software, remove proprietary notices or knowingly exploit a technical, pricing or display error; or
• commit or facilitate fraud, unlawful conduct or any prohibited activity under these Terms.

Referral participants may use our name only as reasonably necessary to share authorised referral links in accordance with Section 6.

8. Information, illustrations and third parties

Calculators, estimates, examples, historical data and pricing illustrations are informational only. They are not binding quotations, purchase offers, trade confirmations, predictions or guarantees. Actual prices, costs, availability and results may differ.

Website content and communications are not financial, investment, tax, accounting or legal advice and create no fiduciary, brokerage, investment-management or professional advisory relationship. Gold and silver prices may rise or fall; no profit, preservation of purchasing power or recovery of costs is guaranteed. Past performance does not guarantee future results.

We may correct errors, omissions, outdated information, referral attribution and status displays. An obvious error does not establish an entitlement to the displayed price, position or benefit.

Third-party information may be delayed or incomplete, and third-party services may be interrupted. A reference or link to another organisation does not imply its sponsorship, endorsement or guarantee of TipGoldVault.

9. Communications and privacy

By joining, you request communications needed to administer your waitlist participation. Commercial electronic messages are subject to the separate marketing consent presented with the form and applicable law. You may withdraw marketing consent at any time through an unsubscribe mechanism or by contacting us.

If you request an end to communications necessary to administer your participation, we may remove your waitlist entry.

Our handling of personal information is described in the Privacy Policy. You may change cookie and tracking preferences using Cookie Settings.

10. Verification, suspension and removal

We may immediately restrict access, suspend participation or hold referral validation without prior notice where reasonably necessary to verify eligibility, protect security, prevent suspected fraud or abuse, address a breach of these Terms or comply with law. Following review, we may remove invalid entries and reject or reverse affected provisional benefits.

We may request information reasonably necessary to verify eligibility or investigate suspected abuse. Failure to provide it may result in disqualification. Except where required by law, we are not required to disclose confidential detection methods, security thresholds or information about other participants.

Suspension, removal or reversal of a benefit does not prevent us from pursuing other remedies available under applicable law.

11. Programme changes and discontinuation

We may modify, suspend or discontinue the website, waitlist or planned service, including its launch date, features and availability. Joining the waitlist does not oblige us to launch a service or accept you as a customer.

Changes to promotional eligibility or earning conditions apply prospectively, subject to applicable law.

12. Disclaimer of warranties

To the maximum extent permitted by applicable law, the free website and waitlist are provided “as is” and “as available”, without representations, warranties or conditions, express or implied, including as to accuracy, availability, merchantability or fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation, referral tracking or delivery of electronic messages.

To the same extent, we are not responsible for delay or failure caused by circumstances beyond our reasonable control, including telecommunications or provider outages, natural disasters, widespread cyber incidents, governmental action, labour disruption, war or civil disturbance.

13. Limitation of liability

To the maximum extent permitted by applicable law, TipGoldVault and its directors, officers, employees and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or loss of profits, revenue, business opportunity, goodwill or data, arising out of or relating to the free website, waitlist or these Terms.

To the maximum extent permitted by applicable law, the total aggregate liability of TipGoldVault and those persons to you for all claims arising out of or relating to the free website, waitlist or these Terms will not exceed C$50, whether in contract, tort—including negligence—statute or otherwise. This is a single aggregate limit, not a limit per claim or incident.

These exclusions and limitations do not apply to fraud or wilful misconduct by the person seeking their protection, or to liability that cannot lawfully be excluded or limited.

14. Indemnity for misconduct

To the extent permitted by applicable law, you will indemnify and hold harmless TipGoldVault and its directors, officers, employees and agents against third-party claims, losses, liabilities and reasonable legal defence costs arising directly from your fraud, impersonation, intentional referral manipulation, deliberate technical abuse, unlawful referral promotions or spam, infringement of intellectual-property rights, unauthorised commitments in our name, or other deliberate or unlawful misuse in material breach of these Terms.

This indemnity does not apply to the extent a claim or loss was caused by the negligence, fraud, wilful misconduct or unlawful conduct of the person seeking indemnity.

15. Changes and notices

We may amend these Terms prospectively. Revised Terms will identify their effective date. We will provide notice of material changes to existing participants and obtain agreement where required by applicable law. Paid services are governed by separate agreements.

We may give notices by email to your registered address, by a conspicuous website notice where legally sufficient, or by another legally permitted method. Invitations may be sent to your registered email address. You may send notices to the contact details in Section 18.

16. General provisions

These Terms constitute the agreement concerning contractual participation in the current website and waitlist. They are not an agreement for future paid services.

You may not assign your rights under these Terms. We may assign these Terms in connection with a reorganisation, financing, merger or sale of our business or assets, subject to applicable law.

A failure or delay to exercise a right does not waive it. If a provision is invalid or unenforceable, it will be read down or severed to the extent legally possible, and the remaining provisions will continue in effect.

Accrued rights and provisions concerning intellectual property, misconduct, disclaimers, liability, indemnity and governing law survive termination to the extent relevant to pre-termination conduct. Except for persons expressly protected by these Terms, no third party is granted contractual rights.

“Including” is not limiting. Headings do not affect interpretation.

17. Governing law and mandatory rights

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Subject to mandatory applicable law, the courts of British Columbia have exclusive jurisdiction over disputes arising from these Terms.

Nothing in these Terms excludes or restricts any right, remedy or liability that cannot lawfully be excluded or restricted. Any conflicting provision applies only to the extent permitted by law.
